Terms of Service

These Terms of Service ("Terms") govern your access to and use of Smart Quote AI ("Service", "we", "us", or "our"), operated by Smart Quote Works. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 18 and able to form a binding contract under the laws of your jurisdiction (Canada or the United States). You are responsible for keeping your login credentials secure and for all activity under your account.

2. Subscription Plans & Billing

The Service is offered on monthly subscription plans: Starter ($19/mo), Professional ($49/mo), and Business ($99/mo) in U.S. dollars unless otherwise displayed. Subscriptions automatically renew each billing period until cancelled. You authorize us and our payment processor (Stripe) to charge your payment method on each renewal. Applicable sales tax, GST, HST, or PST may be added based on your billing address.

3. Cancellation

You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period. See our Refund Policy for refund terms.

4. Acceptable Use

You agree not to: (a) reverse engineer, resell, or sublicense the Service; (b) use it to generate fraudulent, illegal, defamatory, or misleading quotes; (c) upload content you do not own or have permission to use; (d) interfere with the Service's security or infrastructure.

5. AI-Generated Content

Smart Quote AI uses large language models to draft quote scopes, line items, and pricing suggestions. AI output is a starting point only. You are solely responsible for reviewing, correcting, and approving every quote before sending it to a client. We make no warranty as to the accuracy of generated pricing, materials, labor, code compliance, or tax calculations.

6. Your Content

You retain ownership of the business data, client information, and quotes you create. You grant us a limited license to host, process, and display your content solely to operate the Service.

7. Intellectual Property

The Service, including all software, branding, and templates, is owned by Smart Quote Works and protected by Canadian, U.S., and international intellectual-property laws.

8. Termination

We may suspend or terminate accounts that violate these Terms, with or without notice. On termination, your right to access the Service ends; you may export your quotes for 30 days afterward.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or business interruption.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the Service, your content, or your violation of these Terms or any law.

12. Governing Law & Disputes

These Terms are governed by the laws of the Province of Ontario, Canada (for Canadian customers) or the State of Delaware, USA (for U.S. customers), without regard to conflict-of-law rules. Disputes will be resolved in the courts located in those jurisdictions, except where applicable consumer-protection law requires otherwise.

13. Changes

We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least 14 days before they take effect.
